1. Company Details

These Terms apply to services provided by Waris International Consulting Ltd, trading as Waris Consulting, including the digital platform CompCheck.IO (“the Platform”).

2. Acceptance of Terms

By accessing or using:

  • this website,

  • our consultancy services,

  • any documentation provided by us, or

  • the CompCheck.io platform,

you confirm that you have read, understood, and agree to be bound by these Terms, together with our Privacy & Cookies Policy.

If you do not agree, you must not use our services or systems.

3. Definitions

  • “We”, “Us”, “Our” – Waris International Consulting Ltd

  • “Client”, “You”, “Your” – any organisation or individual using our services or platform

  • “Platform” – CompCheck.IO

  • “SaaS” – Software as a Service

  • “Documents” – all reports, templates, records, outputs, and digital content produced

  • “Client Data” – all data entered, uploaded, or generated by the client

4. General Disclaimer

All information provided on this website and via our services is for general information and professional guidance purposes only.

To the fullest extent permitted by law:

  • We make no warranties as to accuracy, completeness, or fitness for purpose.

  • Any reliance placed on information, documents, or outputs is at your own risk.

  • We exclude liability for indirect, consequential, or economic losses.

Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.

5. Reliance on Client Information & Indemnity

All consultancy services, documents, audits, reports, and digital outputs are produced solely on the basis of information provided by the client, whether directly or via the Platform.

Accordingly:

  • We warrant that documents are prepared accurately based on the information supplied.

  • We do not accept responsibility for errors arising from inaccurate, incomplete, misleading, or omitted information supplied by the client.

You agree to indemnify and hold harmless Waris International Consulting Ltd against all claims, losses, enforcement action, penalties, or damages arising from:

  • inaccurate Client Data,

  • failure to disclose relevant information,

  • misuse or misapplication of documents or system outputs.

6. Document Types

Our services may include (but are not limited to):

  • Policies

  • Procedures

  • Risk Assessments

  • Safe Systems of Work (SSOW)

  • Method Statements

  • Permits to Work

  • Guidance Documents

  • Health & Safety Audits

All documents are advisory and do not replace statutory duties or competent management.

7. Consultancy Services – Limitations

Unless agreed in writing:

  • Travel and accommodation costs are excluded.

  • Audits are limited to one UK mainland site.

  • Documents are supplied electronically.

  • Response times are indicative only.

Our total liability for consultancy services shall not exceed the fees paid for the service giving rise to the claim.

PART B – CompCheck.IO SaaS TERMS

8. SaaS Licence Grant

Subject to these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable, revocable licence to access and use CompCheck.IO for your internal business purposes only.

You must not:

  • resell, sublicense, or commercially exploit the Platform,

  • attempt to reverse engineer or interfere with the system,

  • allow unauthorised access.

9. Nature of the SaaS Service

CompCheck.io is provided as a cloud-based compliance support tool.

The Platform:

  • assists with record keeping and compliance management,

  • does not provide legal advice,

  • does not replace competent professional judgement.

10. Availability, Maintenance & Downtime

We aim to provide reasonable availability but do not guarantee uninterrupted access.

We shall not be liable for:

  • planned or unplanned downtime,

  • maintenance outages,

  • hosting or third-party service failures,

  • force majeure events.

Access may be suspended for maintenance, security, or non-payment.

11. Data Storage, Security & Loss

We implement reasonable technical and organisational safeguards.

However:

  • We do not guarantee against data loss, corruption, or unauthorised access.

  • You are responsible for maintaining independent backups.

  • We accept no liability for loss of Client Data, records, or historical information.

12. Client Responsibilities (Critical SaaS Clause)

You remain solely responsible for:

  • accuracy of data entered,

  • reviewing outputs before reliance,

  • implementation of controls,

  • compliance with legal duties.

Any enforcement action, prosecution, or penalty arising from use of the Platform remains your responsibility.

13. SaaS Liability Limitation

To the maximum extent permitted by law, we exclude liability for:

  • loss of data,

  • loss of profits,

  • business interruption,

  • regulatory penalties,

  • reliance on automated or system-generated outputs.

Our total liability relating to CompCheck.IO shall not exceed the subscription fees paid in the 12 months preceding the claim.

14. Intellectual Property (SaaS & Documents)

All intellectual property rights in:

  • CompCheck.IO,

  • system architecture,

  • templates,

  • documents,
    remain the property of Waris International Consulting Ltd unless otherwise agreed in writing.

15. Fees, Invoicing & Late Payment

Consultancy Payment Terms

Invoices are payable within 14 days.

Interest

We reserve the right to charge:

  • statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998, or

  • contractual interest at 5% per calendar month, whichever is higher.

Penalties & Recovery

We may charge:

  • a late payment penalty of up to 10% of the invoice value,

  • administrative fees,

  • all reasonable debt recovery and legal costs.

Services and Platform access may be suspended for non-payment.

16. Termination

We may terminate or suspend access immediately for:

  • breach of these Terms,

  • non-payment,

  • misuse of the Platform,

  • security or legal risk.

Upon termination, your licence to use CompCheck.IO ends immediately.

17. Governing Law & Jurisdiction

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.

18. Amendments

We reserve the right to amend these Terms at any time. Continued use constitutes acceptance of updated Terms.
